Terms And Conditions


These terms and conditions ("Terms") govern your application, admission, enrolment, participation, and use of all services and materials provided by DigiAccel Learning Private Limited ("DigiAccel", "we", "us" or "our") with respect to the Applied Management Programme in E-commerce & Marketing ("AMP" or "Programme"), offered by DigiAccel.


By applying to, accepting an offer for, enrolling in, or participating in the Programme you ("Participant", "you" or "your") agree to be bound by these Terms and by the DigiAccel Privacy Policy and other policies (fees, refund, code of conduct, placement policy) published on DigiAccel's website, as may be updated from time to time.

1. INTERPRETATION & DEFINITIONS


1.1 Definitions. In these Terms, unless the context otherwise requires:


a) “Admission Offer” means the written communication issued by DigiAccel to an applicant selected for admission to the Programme, whether by letter, email, or through DigiAccel’s online application portal. It is clarified that the details set out in the Admission Offer may be clarified, supplemented, or updated by DigiAccel through subsequent emails or written communications, which shall form an integral part of the Admission Offer and be binding on the applicant.


b) “Materials” means all curriculum materials, course content, lecture slides, video and audio recordings, assignments, assessments, case studies, software, templates, manuals and other materials provided by DigiAccel or its licensors in connection with the Programme.


c) “Participant Content” means any content, submissions, assignments, projects, feedback or other materials created, uploaded or provided by a Participant during or in connection with the Programme.


d) “Programme Fee” means the total fees payable for the Programme as stated in the Admission Offer or on DigiAccel’s website for the relevant cohort.


e) “Privacy Policy” means DigiAccel’s privacy policy published on its website as updated from time to time.


1.2 In addition to the above capitalised words certain terms may be defined elsewhere in these Terms and wherever such terms are used in these Terms, they shall have the meaning so assigned to them therein.


1.3 Headings are used for convenience only and shall not affect the interpretation of these Terms.

2. PROGRAMME SUMMARY


2.1 Programme structure. The AMP is a nine (9) month blended learning programme, designed to provide participants with the knowledge, skills, and exposure necessary to build successful careers in business and management. The Programme is structured into three key components:


2.1.1. 6 (six) Months Training Course:


The training course constitutes the core academic phase of the Programme. Over a duration of 6 (six) months, participants undergo a rigorous learning experience that combines classroom sessions, online lectures, hands-on projects, case discussions, and periodic assessments. The curriculum is designed to strengthen core managerial competencies, analytical abilities, and decision-making skills through practical and interactive pedagogy, with focus area on business strategy, marketing, operations, finance, and leadership, among others, delivered through real-world case studies and project-based learning.


The Programme consists of in-person offline training sessions on weekends at DigiAccel’s campus located at Building 9A, 16th Floor, Cybercity, Gurugram, with online sessions on weekdays to ensure flexibility and consistent engagement by the admitted Participant(s).


2.1.2. Assessment/Trainee Internship and Job Application Opportunities:


Following the successful completion of the training course under the Programme, Participants shall, subject to their performance during the Programme and other requirements set out by partner organizations, be allowed the opportunity to apply for internship, trainee an/or job opportunities of partner organizations, as facilitated by DigiAccel on a reasonable endeavour for the Participants, through its industry network.


The selection decision for any internship or job opportunity, following the application process is entirely at the discretion of the respective partner organisation or employer. DigiAccel’s role is limited to facilitating the opportunity for the Participants to apply for such assessment/trainee internship and job opportunities. DigiAccel does not control, assure or influence the decisions of any partner or third-party organization in their selection process for the internship/job opportunities.


Participation in the Programme does not guarantee consideration for, selection into, or successful completion of any internship, trainee role, assessment project, or job opportunity. Admission to or completion of the Programme shall not be construed as an assurance or promise of employment, engagement, job placement, stipend, internship engagement, role, or any similar benefit.


2.1.3. Placement Preparation Assistance:


Towards the conclusion of the Programme, DigiAccel may, on a reasonable-endeavour basis, provide Participants with general placement preparation and career-readiness support, as available, towards the internship/job application opportunities. Such assistance is solely for preparatory purposes and does not constitute any assurance or guarantee of interviews, internships, roles, job offers, or placements.


2.2 Programme objective. The Programme aims to provide applied skills in marketing, media and e-commerce and to support Participants’ career readiness through instruction, real-world projects and placement facilitation. DigiAccel makes no representation, warranty, or guarantee, express or implied, regarding the achievement of any specific learning results, academic performance, or employment outcome. All such outcomes are subject to each Participant’s individual aptitude, commitment, and market conditions.

3. ELIGIBILITY, APPLICATION & ADMISSION


3.1 Eligibility. The Programme is open to final-year undergraduate students expected to graduate on or before May 2026, fresh graduates and early-stage professionals working in marketing roles or small marketing agencies, as well as individuals seeking to transition into or upskill themselves in the field of marketing. Applicants are generally required to hold, or be in the process of obtaining, an undergraduate degree in any discipline from a recognised institution. Admission to the Programme shall always be subject to the aptitude requirements and evaluation process prescribed and reviewed by DigiAccel, under its sole discretion. DigiAccel reserves the right to amend, modify, or update the eligibility criteria for any subsequent cohort at any time and without prior notice.


3.2 Programme Admission Application process.


3.2.1 The standard Programme admission application process shall include, but not be limited to, the following stages: (i) submission of an online application form accompanied by a statement of purpose and curriculum vitae (CV) or LinkedIn profile, (ii) completion of a proctored aptitude test, (iii) an interview with the Programme director, for candidates shortlisted through the preceding stages of the admission screening process.


3.2.2 DigiAccel reserves the right to modify or alter the admission process at its sole discretion, including (without limitation) varying the order or number of stages, introducing additional evaluation steps, or requiring supplementary documentation as deemed necessary.


3.2.3 Furthermore, DigiAccel reserves the right to levy a non-refundable application fee from applicants, towards the administrative and evaluative actions undertaken during the admission screening process. The payment of such application fee shall not, under any circumstances, guarantee admission to the Programme, and all admissions shall be determined strictly in accordance with DigiAccel’s selection criteria and evaluation process.


3.3 Selection. Admission decisions shall be made at the sole discretion of DigiAccel and shall be based on an evaluation conducted by its internal admissions committee. We retain absolute discretion to accept or reject any application at any stage of the process, without any obligation to assign reasons. We may refuse admission for any lawful reason, including but not limited to incomplete or inaccurate information, failure to satisfy eligibility criteria or non-compliance with instructions.


3.4 Timeframes. DigiAccel shall use reasonable efforts to review and process applications in a timely manner but does not guarantee or commit to any specific timeline for such decisions. Any application deadlines or Programme cohort cut-off dates published or notified by us shall be deemed final, and applications received after such date may not be considered.


3.5 Offer acceptance. For the candidates shortlisted/selected from the admission and selection process, to confirm enrolment for the Programmes, applicants must accept the Admission Offer by completing the acceptance formalities specified in the offer communication which may include submitting a signed acceptance of the Admission Offer and paying the applicable Programme admission fee within the prescribed deadline. We reserve the right to withdraw or re-allocate the seat if the acceptance formalities or payment are not completed within the prescribed period.


4. FEES, PAYMENT, SCHOLARSHIPS & FINANCING


4.1 Programme Fee. The Programme Fee for each cohort shall be as specified on DigiAccel’s official website or in the relevant Admission Offer. The Admission Offer shall outline the applicable fee components, including the admission fee, balance tuition fee, and the applicable payment schedule.


4.2 Admission Fee:


4.2.1 Upon acceptance of the Admission Offer, the Participant shall be required to pay the Admission Fee within the timelines prescribed in the Admission Form, in order to confirm and secure their seat in the Programme. Failure to make the payment of the Admission Fee within the stipulated period may result in the forfeiture of the Participant’s seat, and DigiAccel shall have the right to allocate the same to another eligible candidate at its sole discretion.


4.2.2 The Participant hereby agrees and acknowledges that the Admission Fee shall be non-refundable in nature. In the event that the Participant chooses not to join or subsequently withdraws from the Programme for any reason, DigiAccel shall not be under any obligation to refund the Admission Fee. Notwithstanding the foregoing, DigiAccel may, at its sole discretion, reallocate the reserved seat to another eligible candidate.


4.3 Balance Tuition Fees


4.3.1 The balance tuition fees for the Programme shall be payable by the Participant strictly in accordance with the payment timelines and schedule prescribed in the Admission Form, or as may otherwise be communicated by DigiAccel from time to time. Failure to make timely payment of the balance tuition fees may result in suspension of access to Programme sessions, materials, and resources, and may further lead to termination of enrolment at DigiAccel’s sole discretion.


4.3.2 The Participant duly agrees and acknowledges that all Programme Fees (including the Admission Fee and balance tuition fees) once paid shall be non-refundable in nature. In the event that the Participant withdraws, drops out, or is unable to continue the Programme for any reason whatsoever, DigiAccel shall not be under any obligation to refund any portion of the Programme Fees already received. Notwithstanding the foregoing, DigiAccel may, at its sole discretion, consider exceptions only under exceptional circumstances, as deemed appropriate.


4.4 Payment methods. All fees shall be payable through the payment methods specified by DigiAccel, including but not limited to online payment gateways, bank transfers, or authorised financing partners.


4.5 Taxes & charges. Unless expressly stated otherwise, all Programme Fees are quoted exclusive of applicable taxes, levies, duties, or government charges. However please note that DigiAccel is a registered training partner under the National Skill Development Corporation (“NSDC”), and this Programme is registered under NSDC. The Programme Fee is thereby exempt from Goods and Services Tax (GST) under the applicable government notifications relating to skill-development programmes.


4.6 Scholarships & concessions. DigiAccel may, at its sole discretion, offer scholarships, merit-based awards, or other fee concessions of specified value. All scholarship grants are discretionary, non-transferable, subject to eligibility verification, and may be governed by additional terms communicated by DigiAccel. DigiAccel reserves the right to modify, withdraw, or substitute scholarship schemes at any time without prior notice.


4.7 Financing / EMI. If DigiAccel facilitates access to third-party education loans, instalment plans, or financing options, such financing shall be governed exclusively by the terms and conditions of the relevant lending or financing partner. DigiAccel does not act as an agent or representative of such lenders and shall not be liable for any loan approval decisions, disbursement delays, interest terms, or disputes arising between the Participant and the financing partner.


4.8 Cancellation by DigiAccel. In the event DigiAccel cancels a cohort or Programme for operational or other bona fide reasons, DigiAccel may, at its discretion:


a) refund all fees actually received from the Participant for that specific cohort; or

b) offer the Participant a seat in a subsequent cohort on comparable terms.


DigiAccel’s liability in such circumstances shall be limited solely to refunding the amount of Programme Fees actually paid for the cancelled Programme cohort. DigiAccel shall not be liable for any consequential, incidental, or indirect loss, cost, or damage arising from such cancellation.


4.9 Late payment & suspension. DigiAccel reserves the right to suspend access to the Programme, Programme materials, or campus facilities if fees or instalments are not paid by the due dates. Late fees or interest may be levied as permitted by applicable law. Continued non-payment may result in withdrawal of admission or termination of enrolment without further notice.

5. DELIVERABLES, SCHEDULES & CHANGES TO PROGRAMME


5.1 Programme Delivery


DigiAccel shall through the Programme instruction, mentoring, learning materials, assessments, and placement facilitation in accordance with the Programme curriculum, the Admission Offer, and any other official materials published by DigiAccel. The delivery of the Programme may take place through a combination of in-person classroom sessions, online learning components, and hybrid formats, as may be determined by DigiAccel from time to time. The mode and structure of delivery shall be designed to ensure a robust and engaging learning experience that balances academic rigour with flexibility for participants. DigiAccel shall make every reasonable effort to maintain the quality, continuity, and academic integrity of the Programme throughout its duration.


5.2 Schedule Changes


DigiAccel reserves the right, at its sole discretion, to revise, modify, or reschedule any aspect of the Programme as may be necessary or appropriate. Such changes may include, without limitation, adjustments to the Programme calendar, session timings, faculty allocation, delivery mode (in-person/online/hybrid), campus or venue location, sequencing of modules, or assessment format. These modifications may be undertaken to address operational, academic, regulatory, safety, or partner-related requirements. DigiAccel shall make reasonable efforts to provide advance notice of any material changes to participants; however, DigiAccel shall not be liable for any loss, inconvenience, or disruption arising from such revisions, provided that the overall academic value of the Programme remains substantially unaffected.


5.3 Faculty and Mentor Substitutions


In order to ensure continuity and quality of learning, DigiAccel may, at its discretion, substitute, replace, or modify the involvement of any faculty member, mentor, or guest speaker engaged in the Programme. Such substitutions or adjustments shall not materially affect the overall learning outcomes or overall instructional quality of the Programme. Participants acknowledge that faculty and mentor assignments are subject to availability of qualified and experienced professionals and that any such changes shall not entitle Participants to any refund, extension, or other form of compensation.


5.4 Attendance and Assessment Requirements


Participants are required to comply with the minimum attendance, participation, and assessment standards prescribed for their cohort or as otherwise communicated in the Programme guidelines. Satisfactory fulfilment of these requirements shall be a mandatory condition for eligibility to receive the Programme Certificate. DigiAccel reserves the right to define and enforce academic and performance standards, and may require Participants to undertake remediation, reassessment, or submission of additional assignments where deemed necessary to ensure learning outcomes are met. Failure to meet such requirements may result in denial of certification or other academic consequences, as determined under DigiAccel’s academic policies.


5.5 Recording and Use of Sessions


For the purposes of academic delivery, quality assurance, and promotional activities, DigiAccel may record lectures, workshops, mentoring sessions, and other Programme events conducted as part of the curriculum. By enrolling in the Programme, Participants provide their consent to such recordings and to DigiAccel’s right to use anonymised or non-confidential extracts for internal training, academic improvement, or marketing communications. DigiAccel shall ensure that no personally sensitive or confidential information of a Participant is used without prior consent. Any specific exception to the foregoing may be made only if mutually agreed in writing between DigiAccel and the concerned Participant.

6. INTERNSHIP & PLACEMENT


6.1 Best-effort basis. Internship/job placement opportunities are facilitated by DigiAccel on a best-effort basis and are contingent upon the availability/requirement of partner organisations, Participant performance, and prevailing market conditions. DigiAccel does not guarantee or assure any internship and job placement.


6.2 Internship terms. Internships offered through the Programme shall be governed by the host employer’s terms, including any applicable eligibility criteria, background verification, or selection process. DigiAccel acts solely as a facilitator and shall not be deemed the employer or contracting party for any internship engagement.


6.3 Placement facilitation. DigiAccel shall make reasonable efforts to facilitate interactions with hiring partners, provide interview preparation, and offer general career-support resources. Notwithstanding the foregoing, the responsibility for securing employment or internship offers shall rest solely with the Participant, based on their qualifications, performance, and independent engagement with potential employers.

7. Use of platform and services


7.1 You represent and warrant that you have the legal capacity and authority to agree to and accept these Terms on behalf of yourself and any person you purport to represent. You shall not access and/or use the platform if you are not competent to contract under the applicable laws, rules and regulations.


7.2 The services on the platform are made available to you for your lawful use only. As a condition of your use of the platform, you represent and warrant to DigiAccel that you will not use the platform/services for any purpose that is unlawful, illegal and/or prohibited by these Terms.


7.3 Your use of the platform and the services must: (i) be in accordance with these Terms; (ii) be lawful and must comply with all applicable domestic and foreign laws, regulations, rules and policies; (iii) be only for purposes that are consistent with the spirit and intended purpose of the platform; (iv) not infringe the legal rights of any other person, including but not limited to intellectual property rights, proprietary rights, privacy, publicity and personality rights; (v) not be used with any action, device, software or routine that could directly or indirectly, interfere (or attempt to interfere) with the proper working of the platform.


7.4 The services provided to you are based on each Participant’s requirements. You shall ensure that the content part of the services provided to you is not shared or made available to any other person without the prior written consent of DigiAccel. Further, you shall also agree that your access to the platform content shall be as per the services you avail of on the platform. You shall not, without the prior written consent of DigiAccel, copy, reproduce, perform, publish, modify, create derivative works from, transfer, or otherwise use, license or sub- license to any other person except as expressly permitted as part of platform content/services by the DigiAccel.

8. INTELLECTUAL PROPERTY


8.1 DigiAccel ownership. All Materials, DigiAccel trademarks, logos, copyright, course content, pedagogical design, proprietary methodologies and related intellectual property (collectively, “DigiAccel IP”) are and shall remain the exclusive property of DigiAccel or its licensors.


8.2 Limited licence to Participant. Subject to full payment of fees and compliance with these Terms, DigiAccel grants each Participant a revocable, non-exclusive, non-transferable, non-sublicensable, personal licence to access and use Materials solely for their individual, non-commercial, educational purposes for the duration of the Programme. This licence automatically terminates upon completion or discontinuation of the Programme or upon breach of these Terms.


8.3 Prohibited uses. Participants shall not, modify, copy, reproduce, re-publish, sub-licence, sell, upload, broadcast, post, transmit, make available, disseminate or distribute in any way any of the Materials. You may not modify, adapt, merge, translate, disassemble, decompile, recompile or reverse engineer any software forming part of the Programme and/or Materials create derivative works based on the whole of or any of their parts, or incorporate these into any software program. The use of the Programme and / or Materials not expressly permitted in these Terms is strictly prohibited and will constitute an infringement of DigiAccel IP or other intellectual property rights of DigiAccel’s licensors.


8.4 Participant Content licence. By submitting, uploading, or otherwise providing any Participant Content, the Participant grants DigiAccel a perpetual, irrevocable, royalty-free, worldwide, transferable and sublicensable licence to use, reproduce, modify, publish, adapt, distribute and publicly display such Participant Content for academic, operational, marketing, promotional, research and alumni-related purposes, at DigiAccel’s discretion and without additional compensation. Participants represent and warrant that they have all necessary rights in such Participant Content and that its submission or use does not infringe or violate the intellectual property or other rights of any third party.


8.5 Third-party content. We may use third-party service providers for rendering any of the services or Materials. DigiAccel shall not be responsible for the quality, accuracy, or availability of data received by you through any such third party provider. We do not warrant or endorse any content or services that belong to and/or are provided by any third party and shall not be responsible for any loss, damage, or liability arising from your use of such third-party content or services.

9. THIRD-PARTY SERVICES & LINKS


9.1 Third-party platforms. The Programme and website may use third-party learning platforms, payment gateways, tools, plugins and services resources and businesses operated by other persons (“Linked Sites”). The Linked Sites are not under the control of DigiAccel and DigiAccel has no responsibility or liability for any Linked Site, its contents, business, products and services, including without limitation any link contained in a Linked Site, or any changes or updates to a Linked Site.


9.2 Links to the Linked Sites are provided solely for your convenience and the inclusion of any link does not imply endorsement by DigiAccel of any Linked Sites or their content or the products or services available through the Linked Sites or any association with its operators. Your use of the Linked Sites and your dealings with the owners or operators of the Linked Sites is at your own risk and any concerns regarding any such service or resource, or any link thereto, should be directed to that particular service or resource. You shall not make any claim against DigiAccel arising out of or in connection with your use of the Linked Sites or your dealings with the owners or operators of any of the Linked Sites.

10. TECHNICAL REQUIREMENTS & ACCESS


10.1 Device & connectivity. Participants shall be exclusively responsible for obtaining and maintaining any equipment or ancillary services needed to connect to, access, receive or use the platform, including, without limitation, hardware devices, software, and other internet, wireless, broadband, phone and/or other mobile communication device connection services. You shall be exclusively responsible for ensuring that such equipment or ancillary services are compatible with the platform, and you shall be responsible for all charges incurred in connection with the use of the platform and Program in connection with all such equipment and ancillary services.


10.2 Platform access. DigiAccel shall use reasonable efforts to maintain the availability and functionality of its online learning platforms and related digital services. However, DigiAccel does not warrant or guarantee continuous, uninterrupted, or error-free access and shall not be liable for any interruption, delay, or technical failure arising from (a) maintenance, upgrades, or system updates; (b) acts or omissions of internet service providers, hosting providers, or other third-party vendors; or (c) the Participant’s own equipment, software, or network connectivity issues.

11. INDEMNITY


11.1 The Participant shall indemnify, defend and hold harmless DigiAccel, its affiliates, officers, directors, employees and agents from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable legal fees) arising out of:


a) Participant’s breach of these Terms;

b) Participant’s negligent or wilful acts in breach of DigiAccel’s policies; or

c) Participant’s violation of any law or rights of any third party.

12. WARRANTY DISCLAIMER & LIMITATION OF LIABILITY


12.1 No warranties. To the fullest extent permitted by law, DigiAccel provides the Programme and Materials on an “as is” and “as available” basis and expressly disclaims all representations and warranties, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, accuracy, completeness or non-infringement of proprietary rights of third parties.


12.2 Limitation of liability. Except to the extent that liability cannot be lawfully excluded or limited:


a) DigiAccel’s maximum aggregate liability in contract, tort or otherwise arising out of or in connection with these Terms, the Programme or related services, shall be limited to the total fees actually paid by the Participant for the relevant Programme cohort; and


b) Neither DigiAccel nor any of its partners, affiliates, employees, directors, officers, agents, vendors or supplier shall be liable to you or any other person, whether in tort, contract or otherwise, for any indirect, special, incidental, punitive or consequential losses or damages of any nature arising out of or in connection with the use or inability to use this platform or Program, including, without limitation, damages for lost profits, loss of goodwill, loss of data, work stoppage, accuracy of search results, or computer / electronic device failure, virus or malfunction.

13. SUSPENSION & TERMINATION


13.1 Suspension. DigiAccel reserves the right to suspend a Participant’s access to the Programme, Materials, or related resources, if any fees or instalments are overdue, required documentation, verification, or eligibility proofs are not submitted within the prescribed timelines or DigiAccel reasonably suspects a breach of these Terms, academic integrity, or code of conduct.


13.2 Termination. We may restrict or terminate your permission to use our platform and services or ban your account at any time, with or without notice, for any or no reason, including for any violation of these Terms, if you fail to pay any fees when due, for fraudulent chargeback requests, upon the request of law enforcement or government agencies, for unexpected technical issues or problems, if we suspect that you engage in fraudulent or illegal activities, or for any other reason in our sole discretion. Upon any such termination we may delete your account and content, and we may prevent you from further access to the platforms and use of our services. You agree that we will have no liability to you or any third party for termination of your account, removal of your content, or blocking of your access to our platforms and services. Upon termination, the Participant shall have no right to any refund of fees already paid.


13.3 Effect of termination. Upon termination or expiry of enrolment, Participant must cease all use of DigiAccel’s Materials, systems, and services and return or destroy confidential information of DigiAccel. Notwithstanding the foregoing, the following Sections shall survive the expiration or termination of these Terms: Section 8 (Intellectual Property), Section 11 (Indemnity), Section 12.2 (Limitation of Liability), Section 17 (Dispute Resolution & Governing Law) and Section 18 (Miscellaneous).

14. FORCE MAJEURE


Participants agree that DigiAccel shall be under no liability whatsoever in the event of non-availability of the Platform or any portion thereof occasioned by act of God, war, disease, revolution, epidemic, riot, civil commotion, strike, lockout, flood, fire, satellite failure, failure of any public utility, man-made disaster or any other cause whatsoever beyond its control. In such events DigiAccel may postpone, modify or cancel Programme components and will endeavour to provide reasonable alternatives.

15. ASSIGNMENT


We may freely transfer or assign any portion of its rights or delegate its obligations under the Terms or any Program-specific terms shared with you. You may not transfer or assign, by operation of law or otherwise, any portion of your rights or delegate your obligations under the Terms or any Program-specific terms shared with you, without our prior written consent and any such attempted transfer or assignment shall be void and of no effect.

16. NOTICES


All notices to DigiAccel must be sent to the contact details set out in the Admission Offer or as published on the website. DigiAccel may provide notices to Participants by email, posted announcement on the learning platform or by other means. Notices are effective when sent (email) or posted (platform).

17. DISPUTE RESOLUTION & GOVERNING LAW


17.1 These Terms are subject to the laws of India. These Terms shall be governed by the laws of India. Subject to Section 17.2 below, courts and tribunals of New Delhi, India, shall have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms (including any disputes regarding the existence, validity or termination of these Terms).

17.2 All disputes arising out of or in connection with the Terms shall be attempted to be settled through negotiation between senior management of DigiAccel and the Participant. If any dispute arising between the parties is not amicably settled within reasonable period of 60 (sixty) days of the initiation of the aforesaid dispute resolution mechanisms, then, the same shall be resolved by arbitration in accordance with the provisions of the Arbitration and Conciliation Act, 1996, as applicable and amended from time to time.

17.3 The dispute shall be referred to a sole and independent arbitrator to be appointed/ nominated by the parties. The seat and venue of the arbitration shall be New Delhi, India.

17.4 The language of the arbitration will be English. The decision of the arbitrator will be final, binding and incontestable and may be used as a basis for judgment thereon in India or elsewhere. DigiAccel and the Participant will bear its own costs of the arbitration.

18. MISCELLANEOUS


18.1 Severability. If any provision of these Terms is held to be illegal, invalid, or unenforceable, in whole or in part, under any enactment or applicable law, such provision or part shall to that extent be deemed not to form part of these Terms, and the legality and enforceability of the remainder of the Terms shall not be affected.


18.2 Entire agreement. These Terms, the Admission Offer, DigiAccel’s Privacy Policy and any cohort-specific terms constitute the entire agreement between the Participant and DigiAccel with respect to the subject matter hereof and supersedes and replaces all prior or contemporaneous understandings, agreements or communication, written or oral, regarding such subject matter.


18.3 Waiver. No relaxation or delay by DigiAccel in exercising any right or remedy under these Terms shall operate as waiver of that right or remedy or shall affect its ability to subsequently exercise that right or remedy. Any waiver must be agreed by DigiAccel in writing.


18.4 Changes to Terms. DigiAccel may revise the Terms at any time by amending these terms hereof. The revised Terms shall be posted on the website and you are expected to check the page of the website from time to time to take note of any changes we make, as they are binding on you. All changes are effective as soon as we post them and by continuing to use the website and/or availing of our services, you agree to be bound by the revised terms and conditions of use. Your use of the platform is subject to the most current version of the Terms posted on the platform at the time of such use.
